AUTHORIZATION AND RELEASE AGREEMENT between DAVID BERBERICK, an individual and the owner of this website (“Author”) and the person accepting this Agreement by checking the acceptance box below (“you,” your,” “yours.”).

In consideration of the mutual covenants contained in this Agreement, the opportunity to support the objectives of the Book, and for other good and valuable consideration, the receipt and sufficiency of which you hereby acknowledge, the Parties agree as follows:

1. You warrant and represent that you are at least eighteen years of age and fully authorized to execute this Agreement.

2. You warrant and represent that you are accepting this Agreement on your own behalf.

3. You understand that Author is writing and developing a book exploring the reasons for the popularity of J.R.R. Tolkien’s written works (the “Book”).

4. You voluntarily submitted, or intend to submit, responses to the online questionnaire located at http://www.surveyingmiddle-earth.com/questionnaire.html (the “Online Questionnaire”).

5. In his sole discretion, Author may contact you in the future to answer additional questions and/or submit additional comments for the Book (a “Follow-Up Activity”). You understand that you are under no obligation to participate in any Follow-Up Activity. If you choose to do so, however, you understand and agree that the terms and conditions of this Agreement shall apply to such Follow-Up Activity.

6. For purposes of this Agreement, the Online Questionnaire and any Follow-Up Activity shall be referred to, collectively, as an “Interview.” An Interview may consist of any form of communication and the recording thereof, including but not limited to:
     a. In-person, telephone and/or instant messaging discussions with Author (“Direct Discussions”);
     b. Questionnaires in any media; and/or
     c. Any other communication with Author.

7. In this Agreement, the term “Material” shall mean your name, image, biography, comments as quoted or derived from an Interview, and any additional material you provide to Author in connection with an Interview.

8. You warrant and represent that you have authority to supply your Material to Author; that you did not acquire your Material as a result of a confidential relationship; and that supplying your Material to Author does not violate the law or any rights of any third party.

9. Author shall irrevocably own all rights in and to all Interview responses, transcripts and recordings.

10. You grant to Author and to Author’s assigns, licensees and successors the right to reproduce, adapt, publish, distribute, publicly perform, publicly display and otherwise use all or a portion of your Material in connection with the Book and all its subsidiary and derivative works, and/or any advertising, packaging, or promotional material for the Book and all its subsidiary and derivative works, in any and all editions, versions, languages and media, now known or hereafter discovered, in perpetuity and throughout the world.

11. You understand that Author may or may not choose to use your Material.

12. You understand and agree that all services and contributions you render hereunder (including but not limited to the Interview and the provision of your Material) are rendered as a “work made for hire” for copyright purposes. You acknowledge that you have no rights of any nature in or to the Book, including but not limited to any claim of joint authorship. Except as specifically provided herein, you hereby waive any right to inspect or approve the Book, in any form.

13. Author shall make best efforts to credit you as the source of your Material.

14. Author shall owe you no fee, for any reason whatsoever.

15. You shall be afforded a reasonable opportunity to review a recording or, at Author’s option, a transcript of any Direct Discussion Author intends to include in the Book. You agree to advise Author, in writing, of any objections to the inclusion of such Direct Discussion in the Book, within ten (10) business days after your receipt of such recording or transcript. If you fail to so advise Author within such period of time, your objections shall be forever waived.

16. You hereby release Author and Author’s assigns, licensees and successors and all further sub-licensees and transferees from any and all claims of any nature, based on any use of your Material, including but not limited to claims for libel, slander, infringement of the right of publicity, invasion of privacy, portrayal in a false light, moral rights, copyright, trademark, trade secrets, errors or omissions in credit, and any other.

17. You understand that Author is expending extensive and valuable time and effort in preparing the Book, and is relying on the consent and representations you have made in this Agreement.

18. You agree to the execution of this Agreement either on paper or by electronic means. Checking the acceptance box below shall constitute your valid execution of this Agreement.

19. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same Agreement.

20. This Agreement is the entire agreement between the Parties and supersedes all prior written or oral agreements between the Parties relating to the subject matter hereof. No amendment to this Agreement shall be binding or enforceable unless reduced to a writing executed by the Parties.

21. Rights granted herein to Author may be assigned to other individuals or entities. This Agreement shall inure to the benefit and be binding upon the Parties hereto and their respective heirs, legal representatives, successors and assigns.

22. This Agreement shall be governed by the laws of the State of Wisconsin, without regard to any conflicts of laws provisions.

23. You acknowledge that you have read this Agreement, and that you understand it.
